1. Acceptance of Terms
By accessing dreamspaces.es or engaging Dreamspaces for services, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use our website or services. These Terms constitute a legally binding agreement between you ("Client") and Dreamspaces, operated by Guillermo Morales, based in Spain.
2. Services
Dreamspaces provides AI-powered customer experience (CX) intelligence services to B2B ecommerce brands and digital agencies. Specific deliverables, timelines, and fees are defined in individual service agreements or statements of work ("SOW") agreed between Dreamspaces and the Client. These Terms apply to all engagements unless otherwise stated in the SOW.
3. Client Obligations
Clients agree to: (a) provide accurate information necessary for service delivery; (b) ensure that any customer data shared with Dreamspaces is held and shared lawfully, including in compliance with GDPR; (c) use Dreamspaces deliverables only for lawful business purposes; and (d) not resell, sublicense, or redistribute our services or outputs without prior written consent.
4. Fees & Payment
Service fees are as set out in the applicable SOW or pricing agreement. Invoices are payable within 14 days of issue unless otherwise agreed. Dreamspaces reserves the right to suspend services in the event of non-payment. Prices are quoted exclusive of any applicable VAT or taxes, which will be added at the prevailing rate.
5. Intellectual Property
All methodologies, tools, templates, and proprietary processes developed by Dreamspaces remain our exclusive intellectual property. Upon full payment, Clients receive a non-exclusive, non-transferable licence to use deliverables created specifically for them under an SOW. Dreamspaces retains the right to use anonymised or aggregated outputs for research, development, and marketing purposes.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of any service agreement for a period of 2 years.
7. Disclaimer of Warranties
Dreamspaces provides services on an "as is" basis and makes no warranties, express or implied, regarding the completeness, accuracy, or fitness for a particular purpose of its deliverables. AI-generated insights and recommendations are advisory in nature and should not be the sole basis for business decisions.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Dreamspaces' total liability arising from any service agreement shall not exceed the total fees paid by the Client in the 3 months preceding the claim. Dreamspaces shall not be liable for any indirect, consequential, or special damages, including lost profits, even if advised of their possibility.
9. Termination
Either party may terminate a service agreement with 30 days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all outstanding fees for work completed to date become immediately due and payable. Sections 5, 6, 7, and 8 survive termination.
10. Governing Law & Disputes
These Terms are governed by the laws of Spain. Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Spain. EU consumers retain the right to access the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
11. Changes to These Terms
Dreamspaces reserves the right to update these Terms at any time. The "Last updated" date at the top reflects the most recent version. Continued use of our services after changes constitutes acceptance of the updated Terms. For material changes, we will endeavour to provide reasonable notice via email or our website.
